1. Overview
These Terms of Service ("Terms") govern your access to and use of the Cubicyte website at cubicyte.com (the "Site") and any logo design, website design, mobile app development, e-commerce design, or related services provided by Cubicyte ("Cubicyte," "we," "us," or "our"). By using the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
2. Our Services
Cubicyte provides custom logo design, website design, mobile app development (iOS and Android), and e-commerce store design services (Shopify and WooCommerce) for businesses and individuals. The specific scope, deliverables, timeline, and price for any project will be defined in a written quote, proposal, or order confirmation agreed between Cubicyte and the client before work begins. These Terms apply in addition to, and alongside, any project-specific agreement.
3. Scoping, Quotes & Project Timelines
Pricing shown on the Site (including package pricing for logo, website, mobile app, and e-commerce services) is provided as general guidance and may vary based on project scope, complexity, and requirements identified during a scoping call. Final pricing and timelines will be confirmed in writing before a project begins. Estimated delivery times referenced on the Site are typical ranges and not guaranteed deadlines; actual timelines depend on project scope, client responsiveness, and the timely provision of feedback and materials.
4. Payment Terms
Unless otherwise agreed in writing, projects require an upfront deposit before work begins, with the remaining balance due upon completion or according to milestone terms set out in the project proposal. Fees are non-refundable once work has commenced, except as expressly provided under Section 5 (Satisfaction Guarantee) or as otherwise agreed in writing. Late payments may result in a pause of project work until payment is received.
5. Satisfaction Guarantee
Cubicyte offers a satisfaction guarantee on logo design, website design, and mobile app development services as described on the Site at the time of purchase. If you are not satisfied with the delivered work, we will work with you to revise it within a reasonable scope and timeframe. Where a project genuinely cannot be brought to a satisfactory outcome after good-faith revision attempts, a refund may be issued at Cubicyte's discretion, less the value of any third-party costs already incurred on your behalf (such as licensed assets, domain names, paid plugins, or app store developer fees). This guarantee does not apply to change-of-mind requests unrelated to the quality of delivered work, to delays caused by the client, or to add-on scope not included in the original agreement. 6. Revisions & Approvals
Each service package includes a defined number of design directions and revision rounds, as described in the applicable proposal. Additional revisions beyond what is included, or changes requested after a milestone has been approved in writing, may incur additional fees. Client is responsible for reviewing and approving deliverables at each stage in a timely manner; delays in feedback may extend the project timeline.
7. Intellectual Property
Upon full and final payment for a project, ownership of the final approved deliverables (such as the final logo files or final website) transfers to the client, except for: (a) any third-party assets, stock photography, fonts, plugins, or licensed software incorporated into the deliverables, which remain subject to their original license terms; and (b) Cubicyte's general methodologies, know-how, and any pre-existing tools or code libraries used to build the deliverable, which Cubicyte retains the right to reuse in other projects. Cubicyte may showcase completed work in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing and Cubicyte agrees to that request.
8. Client Responsibilities
You agree to provide accurate information, timely feedback, and any content, assets, or access (such as hosting or domain credentials) reasonably required for Cubicyte to complete the project. You are responsible for ensuring that any content, trademarks, images, or materials you provide to us do not infringe the rights of any third party. Cubicyte is not responsible for delays or issues arising from incomplete, inaccurate, or late materials provided by the client.
9. Third-Party Platforms & Tools
Projects may be built using third-party platforms such as Shopify, WooCommerce, WordPress, Webflow, or similar tools, which are subject to their own terms of service, fees, and policies. Cubicyte is not responsible for outages, pricing changes, policy changes, or service discontinuation by these third-party providers. Ongoing subscription costs for such platforms (e.g., Shopify plans, domain registration, hosting) are the client's responsibility unless explicitly included in the project agreement.
10. Cancellation & Termination
Either party may terminate an active project by providing written notice. In the event of cancellation by the client, Cubicyte will invoice for work completed up to the point of cancellation, and any deposit paid will be applied toward that amount; unused deposit funds beyond work completed may be refunded at Cubicyte's discretion. Cubicyte reserves the right to pause or terminate a project in the event of non-payment, abusive conduct, or a client's failure to provide necessary cooperation within a reasonable time.
11. Disclaimer of Warranties
The Site and our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Cubicyte disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific business outcomes, search engine rankings, conversion rates, app store approval decisions, or revenue results from any logo, website, mobile app, or e-commerce project, as these depend on many factors outside our control.
12. Limitation of Liability
Cubicyte is not responsible for indirect losses, such as lost profits or lost business, connected to your use of our services. If a claim does arise, our total responsibility is limited to the amount you paid for that specific project.
13. Indemnification
You agree to be responsible for any claims or costs that result from content you provide to us, from breaking these Terms, or from violating someone else's rights.
14. Governing Law
These Terms are governed by the laws of the State of Texas, United States. Any disputes will be handled by the courts in Texas, unless local law says otherwise.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with a revised "Last updated" date. Continued use of the Site or our services after changes are posted constitutes acceptance of the updated Terms. For active projects, the terms agreed at the time of the project proposal will continue to govern that specific engagement unless both parties agree otherwise in writing.
